These Terms and Conditions ("Terms") govern your use of the TownVibe360 website at townvibe360.com and any related services (collectively, the "Services") provided by M&N Consulting, LLC dba LeadKast & TownVibe360 ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

TownVibe360 is a directory service that features local businesses and real estate professionals. We offer free promotional listings, written features, and social media exposure, as well as paid marketing services such as direct mail campaigns.

Use of the Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our Services in any way that violates applicable law
• Impersonate any person or entity or misrepresent your affiliation
• Submit false or misleading information
• Attempt to gain unauthorized access to any part of our Services
• Interfere with or disrupt our Services
• Use automated systems to access our Services without our express permission
• Engage in any activity prohibited by our Acceptable Use Policy

User-Submitted Content

When you submit information for a listing or feature ("User Content"), you grant us a non-exclusive, royalty-free, worldwide license to use, display, modify, and distribute that content in connection with our Services and marketing of our Services.

You represent and warrant that:

• You have the right to submit the User Content
• Your User Content does not infringe on any third party's rights
• The information you provide is accurate and not misleading
• You have obtained any necessary permissions for photos, logos, or trademarks included in your submission

We reserve the right to edit, modify, or refuse to publish any User Content at our sole discretion.

Free Listings

Listings are provided as a courtesy. We make no guarantees about:

• The duration your listing will remain published
• The traffic or business your listing will generate
• The accuracy of information you submit (you are responsible for that)

We reserve the right to remove any listing at any time, for any reason, without notice.

Paid Services

Paid services such as direct mail campaigns are subject to separate written agreements. See our Refund Policy for details on refunds and cancellations.

Intellectual Property

All content on our website that is not User Content—including our logo, design, written content, and software—is the property of M&N Consulting, LLC and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our Services will be uninterrupted, error-free, or secure.

We do not endorse, verify, or guarantee any business or real estate professional featured on our site. You are responsible for conducting your own due diligence before engaging with any listed party. See our Disclaimer page for more details.

Limitation of Liability

To the maximum extent permitted by law, M&N Consulting, LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.

Our total liability to you for any claim arising from these Terms or our Services shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Indemnification

You agree to indemnify and hold harmless M&N Consulting, LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, your User Content, or your violation of these Terms.

Termination

We may terminate or suspend your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in Williamson County, Tennessee, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms at any time. The "Effective Date" at the top will reflect the most recent update. Continued use of our Services after changes constitutes acceptance of the updated Terms.
